Management and auditThe Annual General Meeting held on 28 March 2012 confirmed that the Board of Directors of VR-Group Ltd would have eight members. Hannu Syrjänen was re-elected chairman of the Board. At its constitutive meeting after the AGM the Board of Directors elected Christer Granskog to continue as vice chairman. Riku Aalto, Maaret Heiskari, Antti Mäkelä, Soili Suonoja and Markku Tapio continue as ordinary members of the Board. Tuija Soanjärvi was elected as a new member of the Board. Arja Talma was a member of the Board of Directors until 28 March 2012. The Board met 12 times, with an attendance rate of 94 %.
The Board elected Hannu Syrjänen as chairman and Christer Granskog, Soili Suonoja and Markku Tapio as members of its human resources committee. The Board elected Antti Mäkelä as chairman and Riku Aalto, Maaret Heiskari and Tuija Soanjärvi as members of the audit committee. Arja Talma was a member of the audit committee until 28 March 2012. The human resources committee met 6 times, with an attendance rate of 100 %. The audit committee met 7 times, with an attendance rate of 90 %.
The Annual General Meeting confirmed that the Supervisory Board would have 12 members and elected Kari Rajamäki as chairman of the Supervisory Board. Timo Korhone was elected vice-chairman at the Supervisory Board’s meeting after the AGM. The members of the Supervisory Board were Christina Gestrin, James Hirvisaari, Sampsa Kataja, Inkeri Kerola, Merja Kuusisto, Asmo Maanselkä, Aino-Kaisa Pekonen, Oras Tynkkynen, Raija Vahasalo and Raimo Vistbacka. The Supervisory Board met seven times during the review year, with an attendance rate of 93 %.
Representatives of employee organizations also attend VR’s Supervisory Board meetings. They have the right to be present and to speak at meetings, but are not full members of the Supervisory Board. The representatives of employee organizations have been: Vesa Mauriala, chairman of the Finnish Railwaymen’s Union; Risto Elonen, chairman of the Finnish Locomotivemen’s Union; Esko Salomaa, chairman of the Rautatiealan Teknisten Liitto (Union of Railway Technical Personnel); Tarja Turtiainen, chairman of the Rautatievirkamiesliitto (Union of Railway Officials); and Teppo Sotavalta, chairman of VR Akava.
The AGM elected the firm of authorized public accountants KPMG Oy Ab to continue as auditors, under the supervision of principal auditor Petri Kettunen, Authorized Public Accountant.
On 13 August 2012 Outi Henriksson was appointed CFO and a member of VR Group’s Management Team. On 20 November 2012 Petri Auno, Senior Vice President, Train Operations, and Jari Hankala, Senior Vice President, Maintenance, were also appointed to the Management Team. Heli Lehtonen was a member of the Management Team until 13 August 2012.
